Aegis Logistics shares came into focus on October 14 after the company announced a proposed acquisition of an 89.8% stake in Tristar Holdings for an equity consideration of $809 million. The stock has gained 111% over the past six months, according to the figures cited in the report.
The acquisition will be undertaken through Aegis Logistics International Pte Ltd, a wholly owned step-down subsidiary. The transaction involves the purchase of shares from Agility Tristar Holdings Limited, Gulf Investment Corporation and Diamond Holdings. It remains subject to regulatory approvals, including applicable competition and antitrust clearances, along with other customary closing conditions. Completion is expected in the fourth quarter of FY27.
Dubai-incorporated Tristar provides integrated liquid logistics services, including maritime logistics, road transportation, fuel storage and distribution, and aviation fuelling. The company operates across 30 countries, giving Aegis an opportunity to expand beyond its domestic operations and strengthen its international presence.
For the financial year ended December 31, Tristar reported consolidated revenue of $1.4 billion, EBITDA of $257 million and net profit of $82 million, according to the company details cited in the report.
Aegis Logistics Chairman and Managing Director Raj Chandaria said the acquisition would help transform the company into an international energy logistics platform. The combination is also expected to create opportunities for business diversification, a wider customer network and operational synergies.
The deal marks a significant strategic move for Aegis as it seeks to increase its scale in the global energy logistics market. However, the transaction’s completion remains dependent on regulatory approvals and the satisfaction of closing conditions.
